History of a merge
In November 2004, Jim Kilts called A. G. Lafley at P&Gââ¬â¢s Cincinnati headquarters. Kilts, who had been Chairman and CEO of Gillette for 4 years, was seeking a buyer of the global Boston-based company. Lafley, who had been Chairman and CEO of P&G for over 4 years, was out of the office and had to call him back, unaware of what Kilts was about to propose. Lafley questioned Kilts on three topics. First, what was Gilletteââ¬â¢s price? Kilts said he wanted a fair offer. Not $60 per share, but not $50. â⬠Jim,â⬠Lafley responded, ââ¬Å"I can do the math. Are you thinking Gillette holdings into P&G stock and options and hold them for an agreed period of time. He would also consider staying with P&G for a year after official merger. Finally, Lafley asked about the description of the new culture he helped forge during his turnaround of P&G. ââ¬Å"The P&G culture is more collaborative, open, and competitive than you may know it to be,â⬠he said.Three days later, Lafley met Kiltsââ¬â¢s personal office in Rye, New York. They spoke the entire afternoon and agreed to expand negotiations to include select senior managers. At one points , Kilts asked Lafley why he didnââ¬â¢t bring any bankers or lawyers. Lafley said they wonââ¬â¢t necessary. Kilts, Gillette CFO Chuck Cramb, and vice chairman Ed DeGRaan met with Lafley and his CFO, Clayt Daley, to work out the merger teams. Culture and tone were major issues for Lafley. we were looking for a collaborative culture,ââ¬Å" he said. ââ¬Å"In fact, I decided that we were going to be collaborative in the negotiations. We had a friendly deal here, and there was no reason not to have the cards on the table. â⬠Lafley called someone that both he and Kilts respected, Rajat Gupta, former managing director of McKinsey, who urged Kilts to give Lafley an open look at potential cost synergies and a peek at Gilletteââ¬â¢s planned technological innovations. Kilts agreed. But come December 2005, they hal ted negotiations, realizing that they couldnââ¬â¢t strike an agreement before the upcoming analyst meetings and holidays. Lafley called Kilts back after Christmas. From a strategy standpoint, Lafley considered the acquisition a ââ¬Å"no-brainer. â⬠Both companies would obtain the scale needed to drive the global expansion of its products P&Gââ¬â¢s developing market size was five times Gilletteââ¬â¢s $11 billion in annual sales versus $2. 2 billion.Together, the combined entity would include 21 billion dollar brands, 16 from P&G and 5 from Gillette. Gilletteââ¬â¢s brands further migrated P&Gââ¬â¢s products portfolio toward high-margin beauty, health and personal care categories. The merger would fortify retail customer relationship, especially through the combined knowledge of male consumers, from Gillette, and female buyers, from P&G. And they could leverage respective business strengths, such as Gilletteââ¬â¢s trade-up practices and P&Gââ¬â¢s go-to-market expertise, to improve growth.
Environmental Issues of the 21st Century
ââ¬Å"Today human actions have become major forces in the operation of the earth system. They increasingly challenge the system boundaries of the planet, which will result in fundamental, unprecedented and unpredictable changes in the earth system (UNEVEN, 2012). â⬠This Is the most Important perspective we have to consider as we enter and currently live In the era provided by the 21st century. Everything happening In this world Is dependent or, If not, manipulated, by human beings. We have become the most superior entity on this planet to the point that we can tinker and choose our planet's destiny. Given this notion, the most infamous environmental concern which got into our senses from the time we hit this century ââ¬Å"can [simply] be categorized according to the major themes of global environmental change- water, climate change, the marine environment, and so on (UNEVEN, 2012). â⬠This phenomenon or change in natural trends, habitats, and, is of course, caused by the acts of us humans, being the superiors of this natural cycle. There are numerous aspects of environmental change like water, climate, etc. But what we all know Is that the reason behind these changes Is collectively bound by the excessive ND Iniquitous acts of man because of their Inventions and stubbornness. Change In water Is caused by water pollutants which come from factories and garbage which Is a product of man. Change In climate Is due to greenhouse gases which come from burning of chemically hazardous wastes which is made by man and burned by man.Change in marine environment is cause by excessive fishing, and water pollutants as well which are both acts of man and products of man. These are Just a few examples of how some aspects of environmental change are done. From here, we can derive he idea that these changes in trends and systems in nature are all put together by man and their acts. To make it a lot more concrete and practical, probably the most important environmental and social concern that has to be tackled would be the products and actions of man and how this can be grounded on awareness and ethics. This concern has reached out and affected numerous fields of science which sometimes are not really related to each other (like: tampering with evolution via biotechnology up to climate change Oval greenhouse gases) except for the sole cause of these occurrences which is man's actions. To say that the concern is solely environmental change would be a bit of an understatement. The real concern would probably be the uncontrollable acts of man.It is disturbing that a single cause could actually affect different aspects in different ways to the point that naturally-known ways and cycles are tipped by mere inventions, ignorance of man, and selfishness. Awareness in the 21st century is solely fixated on man. The man that we know of today has become that catalyst to tip eras of evolution and natural cycles that have been existing before us. The man that we know of today has become the sole manipulator by turning supposedly naturally occurring phenomenon to dissipate or to be created and run artificially. If we look around us, different environmental concerns have arose which show a single symptom; change. But all these changes and concerns boll down to one single factor; human Intervention. In this century, everything that has happened and changed, environmentally speaking, can be Justly blamed on humanity ââ¬Å"Soc TTY NAS already confronted a most to global environmental challenges including loss of biodiversity, climate change, water and and degradation among others, and, through persistence and ingenuity, has found many solutions to these challenges.

International Business Essay Example | Topics and Well Written Essays - 750 words - 20
International Business - Essay Example A political union will lead to loss of sovereignty reducing the control that the countries have over key policies. NAFTA has enabled a tremendous increase in trade between member countries to over 400%. Exports and investment flows have increased highly (Aguilar, 2012). NAFTA has helped to build stronger political bonds between the countries leading to improved foreign policy (Benka, 2014). These include the Organization of American States, Latin American Integration Association, Andean Community of Nations and the Rio Group in South America. In Asia Pacific they include Asia Pacific Economic Integration, Association of Southeast Asian Nations, South Asian Association of Regional Integration and the Trans-Pacific Partnership (Lo, 2015). Economic blocs could create trade barriers and increased tariffs against non-member countries. Integration leads to a shift in work force leading to reduced economic growth in the native country. Integration also leads to partial loss of political sovereignty to member states. Regional integration leads to reduced trade with countries outside the economic bloc while increasing trade with members of the integration. This could lead to higher costs of importing or exporting goods in trade between member countries and non-member states. Regional integration has the effect of reducing foreign investment in non-member countries. Integration leads to trade diversion caused by higher taxes and tariffs for non-member countries that will pursue trade outside the bloc (CAC, 2008). Preferential Trade which incorporates reduced customs duties among members as compared to non-members. A Free Trade Area which abolishes tariffs and quotas on trade among members but each member state retains control over their economic policy. A Customs Union incorporates free trade policies and a common customs tariff against non-members. Members have to pass common external tariff legislations. A Common Market permits free

Media planning for advertising Essay Example | Topics and Well Written Essays - 2500 words
Media planning for advertising - Essay Example Taking this into account, it is logical to think that the huge emphasis is laid nowadays on the quality of the advertising message transmitted to the potential buyers via various types of existing media, because the impact produced by this message determines the success of the campaign and ââ¬â eventually ââ¬â sales level. As the result, enormous amounts of efforts and financial expenses are involved in advertising industry, because creating a persuasive advertising message is considered to be crucial for consumers to make decisions in favor of this or that company. However, a bare advertising message is unlikely to guarantee success for a brand: ââ¬Å"a great advertising message in front of the wrong audience is a total waste of time and effortâ⬠(Kelley and Jugenheimer, 2008, p. 5). For a successful promotion campaign, message strategies must be combined with wise media strategies for a message to reach the audience in the most effective way. Media strategies should b e always highly flexible and capable of complying with the changes in preferences and behavior of consumers. ââ¬Å"When consumers change their consumption patterns, the marketing communications strategy to reach these consumers must change as wellâ⬠(Và glundsson and Halldà ³rsson, 2012, p.1). It is also important to adjust media communication strategies to the patterns of media consumption and change (or enhance) them, if new media emerge or gain popularity among consumers. In the recent decades, rapid technological progress has shown dependence of marketing on the innovations in communication technologies. ââ¬Å"For the advertiser and agency, this technological revolution has meant radical re-thinking and redeployment of how messages and incentives are distributed to relevant marketplace customers and prospectsâ⬠(American Academy Of Advertising Conference Proceedings, 2013, p.

Investigating the Relationship between Changes in Weight Loss and Essay
Investigating the Relationship between Changes in Weight Loss and Triglyceride Level - Essay Example The change in weights and triglyceride levels were computed by subtracting the value taken at baseline from the values obtained at week 8. Averages, trimmed means, median, mode, and standard deviation were calculated from the population data. The relationship between weight loss and triglyceride level of each patient were shown using a 2-axis combination graph. Correlation between the two parameters will also be calculated. A linear regression analysis was conducted to predict the association between weight loss and triglycerides. The regression equation was used to determine the decrease in the amount of triglycerides for every kilogram decrease in weight. Thirty-five obese patients participated in the study. At baseline, their weights ranged from 69.4 to 133 kg (Table 1). The same range was observed at Week 8 after the completion of treatments. Triglyceride levels at baseline shows that the range was at 57 ââ¬â 446 mg/dl; however, the range was very wide after treatment, ranging from 54 ââ¬â 795 dl/mg. The wide range was due to a very high increase in the triglyceride level of patient 231, who was also the only one to gain weight during the treatment. The data also shows that the median, which is the middle number in the range of values, was not far off from the average or the means. However, the mode, which is the most repeated number in the array, was not close to the average values. Trimmed means (the practice of a chosen percentage of the values) were also close to the average values. These show that the data are clustered close together, hence the similar median, averages and trimmed means for the measured parameters. At eight weeks after treatment, the average loss in weight was estimated to be 3.93 kg with a standard deviation of 2.76 kg. This large deviation can be attributed to the wide range in the weight loss

Business Management - Corporate Social Responsibility at IKEA Essay
Business Management - Corporate Social Responsibility at IKEA - Essay Example This is the great social welfare of the society. As one of Ikeaââ¬â¢s executive says about Kamprad ââ¬Å"He focuses on the human. What motivates Ingvar Kamprad is not profit alone but improving the quality of life of peopleâ⬠. The company has demonstrated this through a supply of products which have global acceptance as they fit the diverse socio-cultural aspects of any market segment in the various countries of operation. Kamprad who is the founder of the firm takes personal initiative to meet employees and clients face to face before holding a participatory decision meeting with the management. This Ikeaââ¬â¢s customer-focused products requires the complete involvement of the staff, suppliers, and other stakeholders and this explains its centralized management and a well-coordinated international marketing and franchised entities under its name. The interest of the society is taken into consideration by the company from its evident global appeal and its founderââ¬â¢s less bureaucracy style of leadership for efficiency and quality. The increasing call for social responsibility of Ikea in terms of environmental care has seen it reorganize its management strategy and overall objective. There are several complaints brought against the global operation of Ikea and of central concern is the child labor which some of its subsidiaries in India are involved in. The international trade regulations and the general expectation of the society are to keep children out of labor. It is therefore evident that the child labor case in India which is an associate of Ikea significantly tainted its reputation and overall sales revenue. This is an act perceived as exploitation and its effect on the companyââ¬â¢s image has considerable drawbacks in its market performance (Coombs & Holladay, 2012, pg63).Ã

Challenges Facing the Development of Social Enterprises in China Essay
Challenges Facing the Development of Social Enterprises in China - Essay Example This essay stresses that the development of the social enterprises is hindered by the challenges regarding attracting, retaining, and developing talents. With the social enterprise sector being young compared to other countries across the world, they can only achieve growth by ensuring that new ideas are refined in order to create growth opportunities to the enterprises. Many of the multinational organizations have been able to thrive in the markets because they have experienced workforce which is able to guide the rest of the subordinates. However, in China, the social enterprises are young. Therefore, the managers do not have the necessary skills to guide the young generation working in these enterprises on how to nurture their talents in order to make a difference in the organization. This report makes a conclusion that The complexity of registering a social enterprise has made it hard for them to expand to other areas, an aspect that would enable them to increase the number of beneficiaries. Many of these enterprises are located in urban areas. With lack of support from the government and many registration hurdles, the enterprises have been unable to open up various subsidiaries in the rural areas in order to help more people. In addition, constant internal wrangles regarding the best places to establish these branches have been affecting the progress of these institutions in China. The reason is that there are no effective internal mechanisms to solve these issues.
